1. When will the next shareholders' meeting be held?
The notification of a convening of the next shareholders' meeting will be made no less than 30 days prior to the date of the shareholders' meeting published in a report in the newspaper «RBC daily». 20 days prior to the shareholders' meeting, all shareholders who are entitled to participate in voting receive the notice and voting ballots by mail. In addition, these documents are available in both Russian and English on RBC’s website in the «Corporate events» section.
2. When are the annual general meetings of shareholders held?
According to the law "On Joint-Stock Companies," annual general meetings of RBC shareholders are held between March 1st and June 30th of the year following the accounting year.
3. When will the next extraordinary general meeting be held?
Extraordinary general meetings of shareholders are held upon the decision of the Board of Directors of the company on the basis of its own initiative, or at the request of the Audit and Compliance Committee of the company, the auditor of the company, and also shareholders (shareholder) who own at least 10 percent of voting shares of the company on the date the request is made.
4. Where are the shareholders’ meetings usually held?
Extraordinary meetings of shareholders are held at the head office of the company at the following address: 78 Profsoyuznaya St., Moscow. Annual meetings of shareholders are usually held in specialized conference halls in the central district of Moscow.
5. Who is entitled to participate in voting at the shareholders’ meeting? Are the meetings public?
The shareholders who are registered in the list of shareholders on the closing date have the right to participate in voting at the meeting of the shareholders. The closing date of the register is determined by the Board of Directors. All meetings of the shareholders are public.

7. When does RBC’s fiscal year end?

The financial reporting of the RBC Group of companies, registered in Russia, is done in accordance with Russian Accounting Standards (RAS), and the consolidated financial reporting of the company is done in accordance with International Financial Reporting Standards (IFRS). Independent auditor Grant Thornton carries out an audit of the company’s reporting according to RAS and IFRS.
9. Which company is RBC’s independent auditor?
The company’s independent auditor, confirmed by a decision of the Annual General Meeting of Shareholders, is currently Grant Thornton, which carries out an audit of the company’s reporting according to RAS and IFRS.
10. Does RBC publish intermediate reports?
The company periodically publishes management accounts prepared in accordance with IFRS in the form of press releases.
11. How does the company disclose its financial results?
Annual accounting reports according to RAS in Russian are available in the “Financial Statements” section of the company’s corporate website. The management’s accounts prepared in accordance with IFRS in both Russian and English are available in the form of press releases in "Press releases"and consolidated audited financial statements of the company in Russian and English are also available in the “Financial Statements” section of the company’s corporate website. The reports are also sent out to analysts, investors and news agencies. Apart from that, the company periodically organizes conference calls to announce IFRS-based financial results to investors.
12. What stock exchanges are RBC’s ordinary shares listed on?
RBC’s shares are traded on quotation list B on MICEX-RTS under the RBCM ticker symbol.
13. How can an individual shareholder sell and purchase company shares?
The company’s ordinary shares are listed on the Moscow Interbank Currency Exchange (MICEX) and the Russian Trading System (RTS). RBC shares can be sold or purchased with the help of investment companies or banks that have a professional stock market participant license for the realization of brokerage activity with the right to retail banking. A list of these organizations can be found on the site of the Federal Financial Markets Service (http://www.fcsm.ru/ru/).
14. Does the company intend to pay out dividends?
RBC aims to be a leader in the dynamically growing and highly competitive mass media sector, which requires considerable capital investments. As a result, for the time being, the company is not paying out dividends. This corresponds with RBC’s policy which stipulates that net profit should go towards the company’s development for the next few years.
